What are board meeting minutes?

Board meeting minutes are the official written record of discussion, decisions, and actions taken during a board meeting.

They are a permanent record of the board's governance, capturing key points such as motions, votes, strategic discussions, and assigned responsibilities.

Meeting minutes need to:

  • Represent the development of the board's thinking about significant topics
  • Record that appropriate governance processes were observed
  • Be written so someone not present at the meeting can understand how the board arrived at its final position

Minutes carry legal weight in the UK. Companies must keep them under the Companies Act 2006, and charities are expected to keep them as evidence trustees acted properly. See faqs below for more details.

  • Consistency. Every set of minutes looks the same, whoever's taking them
  • Nothing missed. The structure prompts you for interests, actions and decisions, not just general notes
  • Defensible if challenged. A clear, standard format is easier to stand behind at audit or if a decision's ever questioned
  • Faster to write, faster to approve. Less time formatting, more time getting sign-off

Staying at the top of your professional game! In the past, preparations for Board meetings were a nightmare as there were always literally mountains of paperwork to prepare, photocopy and share with Board members. This was such a tedious task, not to mention not great for the environment. Now, with BoardPro, all meeting documents are virtual and there is no longer any need for photocopying and wasting so much paper. This has cut our meeting cost down significantly.

Completely changed our board meetings! The software drastically improves organization of documents and communication before and after meetings. It gives us a central place for recording and reviewing minutes. We use the action items feature extensively, which automates everything so nothing slips through the cracks. Are board meeting minutes legally required in the UK?

Good minutes show how the board reached a decision, not just what it was, and stand on their own for anyone who wasn't in the room: an incoming trustee, an auditor, a funder.

UK companies must record director meeting minutes and keep them for at least ten years, under Section 248 of the Companies Act 2006. Charities have a similar expectation from the Charity Commission: clear, detailed minutes as evidence trustees acted with reasonable care. Retention varies by structure, ten years for charitable companies, six for CIOs, trusts and unincorporated associations, per CC48.

This template covers what UK boards are expected to record, decisions, votes, interests, actions, but it's a strong starting structure, not a substitute for your own legal advice.

Does this template meet UK requirements?

It's built around the core information UK boards are generally expected to record: decisions, votes, interests declared, and actions agreed. It's a strong starting structure, not a substitute for your own legal advice on what your specific organisation is required to keep.
